These Terms of Service ("Terms") are a legally binding agreement between you (the "Customer," "you," or "your") and OrgHubs ("OrgHubs," "we," "us," or "our") governing your access to and use of the OrgHubs platform and services ("Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services.
OrgHubs provides a software-as-a-service (SaaS) platform that enables volunteer-run organizations to manage members, events, dues collection, finances, donations, and public websites. The specific features available to you depend on the subscription plan you select.
OrgHubs offers the following plan tiers, each subject to the feature limits and pricing described on our pricing page and in your account settings:

To use the Services, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
The individual who creates an OrgHubs account is the primary administrator. Administrators may invite additional users within their plan's admin limit. Administrators are responsible for all actions taken by users within their account, including member data entered, events created, and communications sent through the platform.
You must notify us immediately at our contact form if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized account access that result from your failure to secure your credentials.
You agree to provide accurate, current, and complete information when creating your account and to keep it updated.
Paid plans are billed on a monthly recurring basis. By selecting a paid plan, you authorize OrgHubs to charge your payment method on file on the same day each month. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
Payments are processed by Stripe, Inc. Your payment information is transmitted directly to Stripe and is subject to Stripe's privacy policy and terms of service. OrgHubs does not store your full payment card details.
You may upgrade your plan at any time; the new rate takes effect immediately and is prorated for the remaining billing cycle. Downgrades take effect at the start of the next billing cycle. Downgrading to a lower-tier plan may result in loss of access to features or data that exceed the lower plan's limits.
You may cancel your subscription at any time through your account settings or by emailing our contact form. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months, except where required by applicable law.
If a payment fails, we will attempt to charge your payment method up to three times over 7 days. If payment is not received, we may downgrade your account to the Starter plan or suspend access until outstanding amounts are paid.
We generally do not issue refunds for subscription fees already paid. If you believe you were charged in error, contact us within 30 days and we will review your request in good faith.
OrgHubs enables organizations to collect dues, event fees, and donations from their members via Stripe Connect. OrgHubs charges a platform fee on transactions processed through this feature. The current fee schedule is displayed in your account settings. OrgHubs is not responsible for disputes between organizations and their members regarding payments collected through the platform.
You retain all ownership of the data you and your members submit to OrgHubs ("Customer Data"). We do not claim any ownership rights over your data.
By using the Services, you grant OrgHubs a limited, non-exclusive, worldwide license to store, process, and display your Customer Data solely as necessary to provide and improve the Services.
You are responsible for ensuring you have lawful basis to collect and store the personal information of your organization's members in OrgHubs. You are responsible for obtaining any required consents and for complying with applicable privacy laws in your jurisdiction with respect to your members' data.
You may export your Customer Data at any time using the export functions within the platform. We will provide a full data export upon request within 30 days.
Upon cancellation or termination of your account, your Customer Data will be retained for 90 days and then permanently deleted from our systems, except where retention is required by applicable law. You may request immediate deletion by emailing our contact form.
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You must not:

The OrgHubs platform, including its design, software, trademarks, logos, and all content created by OrgHubs, is owned by OrgHubs and protected by copyright, trademark, and other applicable intellectual property laws. These Terms do not grant you any right to use OrgHubs trademarks or branding.
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant OrgHubs an irrevocable, perpetual, royalty-free license to use the Feedback for any purpose without compensation to you.
OrgHubs Pro and Enterprise plans include AI-powered features ("AI Features") powered by Google Gemini. By using AI Features, you acknowledge and agree that:
The Services integrate with or depend on third-party services including Google Firebase, Stripe, SendGrid, Google Gemini, and Cloudflare. These services are governed by their own terms of service and privacy policies. OrgHubs is not responsible for the availability, accuracy, or conduct of third-party services. Any issues with payment processing are governed by Stripe's terms and handled directly with Stripe.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
ORGHUBS DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
ORGHUBS IS NOT A FINANCIAL ADVISOR, ACCOUNTANT, OR LEGAL ADVISOR. THE FINANCIAL REPORTING FEATURES OF THE PLATFORM (INCLUDING P&L REPORTS AND TRANSACTION RECORDS) ARE PROVIDED AS ORGANIZATIONAL MANAGEMENT TOOLS ONLY AND DO NOT CONSTITUTE PROFESSIONAL FINANCIAL, ACCOUNTING, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR SUCH ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORGHUBS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
IN NO EVENT SHALL ORGHUBS'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ORGHUBS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless OrgHubs and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including the rights of your organization's members; or (e) any content or data you submit through the Services.
You may terminate your account at any time by canceling your subscription in account settings or contacting us at our contact form. Termination takes effect at the end of your current billing period.
We may suspend or terminate your account immediately, with or without notice, if: (a) you materially violate these Terms; (b) we are required to do so by law; (c) continued service creates legal or security risk to OrgHubs or other users; or (d) we determine, in our sole discretion, that continued service is no longer commercially viable.
In cases of termination without cause by OrgHubs, we will provide a prorated refund of any prepaid subscription fees for the unused portion of the billing period.
Upon termination, your right to access the Services ceases immediately. Your Customer Data will be retained for 90 days and then permanently deleted. Sections 5.1, 7, 10, 11, 12, 14, and any other sections that by their nature should survive, shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If the dispute is not resolved within 30 days, either party may submit to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in English. The parties waive the right to a jury trial and to participate in class action proceedings.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the updated Terms take effect. We will also update the "Last updated" date on this page.
Your continued use of the Services after the updated Terms take effect constitutes your acceptance. If you do not agree to the updated Terms, you may cancel your account before the new Terms take effect.
